1. Acceptance of Terms

By accessing or using the services provided by ToolBelt Co. ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, you may not access the website or use any of our services. We reserve the right to update, change, or replace any part of these Terms of Service by posting updates and/or changes to our website.

2. Description of Services & Deliverables

ToolBelt Co. provides done-for-you marketing systems, websites, CRM configurations, and lead generation funnels specifically designed for skilled trades and blue-collar businesses. The specific deliverables (e.g., social posts, custom website, AI automation) are determined by the pricing tier you select during checkout. You agree to provide accurate, current, and complete information during the onboarding process to enable us to fulfill these deliverables.

3. Free Trial, Fees & Payments

Free Trial: We offer a 14-day free trial that begins immediately after your final deliverables go live. During this period, you may evaluate the service at no monthly cost.

Setup Fees & 100% Money-Back Guarantee: Any setup fees associated with your chosen tier are due at checkout prior to onboarding and fulfillment. If you choose not to continue past your 14-day free trial period, your setup fee will be 100% refunded entirely—no hassle, no questions asked.

Ongoing Subscriptions & Billing Cycles: You must select your billing cycle (monthly or bi-annually) at checkout prior to starting your 14-day free trial. If you select a monthly billing cycle, you may upgrade to a bi-annual billing cycle at any time to save 25%. However, bi-annual subscriptions are locked for their 6-month term and cannot be changed back or downgraded to a monthly billing cycle during an active bi-annual period. After the 14-day trial period, subscription payments are processed based on your chosen cycle. If payment is not received, your deliverables, website, and CRM access will be inactivated. By providing a payment method, you authorize us to charge the applicable recurring subscription fees.

4. Revisions & Approvals

Our service includes one (1) dedicated round of revisions during the initial setup phase, delivered within 48 hours of your request. Once the deliverables are approved and go live, further major structural or design revisions may require an upgrade or additional fees. Minor updates (e.g., running promotions, changing text) can be requested prior to each renewal period (monthly or bi-annually).

5. Intellectual Property & Ownership

While your account is active and in good standing, you are granted a revocable, non-exclusive license to use the website, funnels, and marketing materials we provide. However, ToolBelt Co. retains underlying ownership of the proprietary frameworks, templates, codebases, and CRM structures used to deliver the service. If you cancel your subscription, your website and funnels will be deactivated, and you may not port our proprietary code or templates to another provider. You retain full ownership of your logos, brand assets, and customer data.

6. Disclaimers & No Guarantee of Results or Sales

Our services are provided on an "as is" and "as available" basis. ToolBelt Co. provides done-for-you marketing systems, websites, and technical setups. You explicitly acknowledge and agree that purchasing a subscription, completing onboarding, or entering into a partnership with ToolBelt Co. does not guarantee any increase in revenue, sales, profit, lead volume, client conversion, or overall business success.

All business outcomes depend on factors beyond our control, including but not limited to local market conditions, your pricing, client fulfillment, response speed, sales process, and industry competition. ToolBelt Co. does not promise or guarantee sales or financial performance of any kind. No statements, ROI estimators, or promotional materials on this website or in communication shall be interpreted as a legal or financial guarantee of sales or profit. We do not warrant that the service will be uninterrupted, timely, secure, or error-free.

7. Limitation of Liability & Indemnification

In no event shall ToolBelt Co., its directors, employees, or affiliates be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of your use of our services. You agree to indemnify and hold ToolBelt Co. harmless from any claims, damages, or expenses arising from your violation of these Terms or your infringement of any third-party rights.

8. Governing Law & Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which ToolBelt Co. operates, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved exclusively through binding arbitration, rather than in court, and you waive any right to participate in a class action lawsuit.
